Match Plan assisted Dikkedeur pedagogical childcare center in Rotterdam with the takeover of the management. The childcare has been transferred to four employees via a Management Buy-Out (MBO). Match Plan supported both the former shareholder in the sale and the buyers in the acquisition. This situation required transparent and professional actions and switching between the selling and acquiring party. As a result, Match Plan advisor Hans van de Pas acted as a pivotal role and deal maker for both parties.

Dikkedeur Rotterdam was founded in 1995 and has 375 places for children spread over 7 places in Rotterdam. The more than 70 (pedagogical) employees are committed to high-quality childcare. This manifests itself in a day care, a toddler playgroup and an after school care.

Management Buy Out (MBO)

The director / shareholders of Dikkedeur decided to engage Match Plan for guidance during the takeover process. The choice for Match Plan was made on the basis of the track record in childcare. Ultimately, the choice fell on an MBO, whereby the company was sold to the incumbent management, and not to an external party.

It was important in this to determine the right transaction structure  as well as recording the agreements. Because there was a business succession scheme, there was a tax and legal challenge that was brought to a successful conclusion. The legal process, such as drawing up the purchase agreement and recording the agreements between the four buyers, was also taken care of by Match Plan’s own lawyer.

The entire process of a business sale has been covered within this process. First of all, an inventory was made of the principles, objectives and motives of the sale. Subsequently, a valuation report was drawn up for Dikkedeur. Where in a regular sales process a relevant buyer is sought, this was different in this situation. The now-new owners had already shown their interest in taking over the childcare. The challenge was the financing of the transaction. Match Plan took care of this process and in the end a very fitting financing was arranged.
