Management takes over Dikkedeur Childcare through an MBO construction

Match Plan assisted Dikkedeur pedagogical childcare in Rotterdam with the takeover of the management. The childcare was acquired through a Management Buy-Out (MBO) transferred to four employees. Match Plan supported both the former shareholder in the sale, if the buyers at the purchase. This situation called for transparent and professional action and coordination between the selling and buying parties.

Shelter at seven locations in Rotterdam

Dikkedeur Rotterdam was founded in 1995 and offers 375 childcare places across seven locations in Rotterdam. Its more than 70 employees are committed to providing high-quality childcare. This includes daycare, a playgroup, and after-school care (BSO).

Customised internal business succession solutions

For this management transition, the board engaged Match Plan based on its experience with acquisitions in the childcare sector. While external buyers are sought in standard processes, in this case the existing management was already ready as a potential buyer. This required a careful structure, clear agreements, and transparent guidance between both parties.

 

Important parts of the process were determining the transaction structure, shaping the financing and recording tax and legal agreements. Because the transfer took place under the business succession scheme, extra attention was paid to the correct and balanced completion of the legal documentation.
