Consultancy firm Finext has shares valued for certificates
Finext, a consultancy firm focusing on strengthening and digitizing the financial function, has once again business valuation to be carried out by Match Plan. Match Plan previously supervised a valuation of six separate components within the former Finext structure. The current assignment involved a valuation of Finext BV as it currently operates, following restructuring and rebranding.
Focus on financial and certificate structure
Finext is a progressive consultancy firm that supports organizations with topics such as consolidation, process optimization, cost management, and dashboarding. Automation plays a central role in these efforts. Since its restructuring, Finext has operated under the entity Finext BV, with its share capital held by a foundation that issues certificates to employees and participating investors.
As part of a tax ruling with the Dutch Tax and Customs Administration, the certificates are valued every two years. This valuation forms the basis for transactions between certificate holders and also provides insight into the current value of the company.
Match Plan as a permanent partner
Match Plan guided both valuation processes, both in the previous structure with six entities and in the current form of Finext BV. In both cases, an indicative valuation was drawn up based on the Adjusted Present Value method (APV). This method looks ahead and calculates the value based on expected free cash flows, taking into account the company's risk profile.
The valuations were carried out by Richard Peeters, Director of Valuation and Registered Valuator, and Yvo Bruin, Senior Consultant. With five of the more than 300 certified Registered Valuators on staff, Match Plan possesses in-depth knowledge and years of experience in valuations for tax, legal, and strategic purposes, among others.
