Qube Bidco establishes Purchase Price Allocation following acquisition of QLS Group
As part of the takeover Fulfillment specialist QLS Group has engaged Qube Bidco, an indirect subsidiary of Waterland Private Equity, to value its intangible assets. The valuation, carried out via a Purchase Price Allocation (PPA), was prepared in accordance with the Financial Reporting Guidelines. The PPA established the financial basis for the correct processing of the acquisition and insight into its strategic value.
Fulfilment with strong growth acceleration
In recent years, QLS Group has become a leading player in fulfillment solutions. The company has invested heavily in automation and robotization, including the expansion of an advanced AutoStore solution with over 100 robots. With innovative applications like the Bin ResQ Robot and a second fulfillment location in preparation, QLS is responding to the growing demand for scalable, efficient logistics services within e-commerce and retail.
Valuable addition to Waterland
The acquisition aligns with Waterland's strategy to strengthen and scale internationally logistics companies with high growth potential. Following previous investments in Duvenbeck, Base, and Logicall, the addition of QLS expands its logistics portfolio with a technology-driven fulfillment specialist. QLS will benefit from Waterland's strength, knowledge, and experience to accelerate its growth strategy.

The valuation of intangible assets such as technology, customer relationships, brand name, and contract positions was carried out by Match Plan, led by Richard Peeters, Director of Valuation. Thanks to its extensive experience with PPA processes and reporting standards, Match Plan was able to provide Qube Bidco with a sound, objective valuation. The PPA supports the careful integration of QLS into the group and provides a clear basis for reporting and future decision-making.
